Terms of Service
Effective: March 27, 2026 — ArbiCloud by ThoughtWave Technologies, Inc.
1. Acceptance
By accessing or using ArbiCloud (“the Exchange”), you agree to these Terms of Service and all applicable laws. ArbiCloud is operated by ThoughtWave Technologies, Inc. (“ThoughtWave”, “we”, “us”). If you do not agree, do not use the Exchange.
2. Nature of the Exchange
ArbiCloud is a spot marketplace for compute capacity. All trades settle with immediate or near-immediate delivery of the underlying compute resource. ArbiCloud does not offer futures contracts, forward contracts, or any derivative financial instruments. Listings represent actual available capacity — speculative listings with no intent to deliver are prohibited.
3. Eligibility
You must be at least 18 years of age and capable of forming a legally binding contract. Business accounts must be registered entities. We reserve the right to verify identity and reject accounts at our discretion.
4. Accounts
You are responsible for maintaining the security of your account credentials. Account access is provided via ThoughtWave Technologies single sign-on. You may not share accounts or access the Exchange on behalf of another party without explicit authorization.
5. Trading
All orders are binding upon submission. Matched orders create obligations on both the buyer and the seller. Cancellation of matched orders is not permitted except in cases of seller non-delivery. ThoughtWave charges a platform fee on matched trades (currently 3% of trade value, subject to change with 30 days notice).
6. Seller Obligations
Sellers must deliver the listed compute capacity within the timeframe specified in the listing. Failure to deliver results in a full refund to the buyer and may result in account suspension. Sellers are responsible for the reliability and connectivity of their nodes.
7. Buyer Obligations
Buyers must fund orders prior to matching via the escrow system. Funds are released to the seller upon confirmed delivery. Buyers may not use provisioned compute for illegal activities, spam, DDoS, or cryptocurrency mining beyond what is explicitly agreed in the listing.
8. Limitation of Liability
ThoughtWave is not a party to trades between buyers and sellers and is not liable for seller non-performance, hardware failures, or data loss. The Exchange is provided “as is”. ThoughtWave’s total liability is limited to platform fees collected in the 30 days prior to any claim.
9. Governing Law
These Terms are governed by the laws of the State of California. Disputes shall be resolved by binding arbitration in Los Angeles County, California.
10. Changes
We may update these Terms at any time. Material changes will be communicated via email and 30 days notice before taking effect.
